End User License Agreement
This agreement governs your use of the Wayfield iOS and Android mobile applications. Please read it carefully before downloading or using the app.
1. Scope
This End User License Agreement ("EULA") is a legally binding agreement between you ("you" or "End User") and Wayfield, Inc., a company incorporated in Minnesota, United States ("Wayfield", "we", "us", or "our"), governing your use of the Wayfield mobile application, including all versions made available for Apple iOS and Google Android devices (collectively, the "App").
By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by this EULA. If you do not agree to this EULA, do not download, install, or use the App.
This EULA governs the App specifically. Your use of the broader Wayfield platform — including the website and organizer tools — is governed by the Wayfield Terms of Service and associated policies. The Terms of Service and this EULA together form the complete agreement between you and Wayfield regarding the platform and App.
2. License Grant
Subject to your compliance with this EULA, Wayfield, Inc. grants you a non-exclusive, non-transferable, revocable, limited license to download, install, and use the App on a personal device that you own or control, solely for your personal, non-commercial use in connection with the Wayfield platform.
This license does not include any right to:
- Use the App on any device that you do not own or have lawful control over.
- Grant sublicenses, sell, resell, transfer, assign, or otherwise dispose of the App or your rights under this EULA to any third party.
- Use the App in any manner not expressly permitted by this EULA and Wayfield's Terms of Service.
All rights not expressly granted to you under this EULA are reserved by Wayfield, Inc. The App is licensed, not sold.
3. Restrictions
You must not, and must not permit or encourage any third party to:
- Reverse engineer or decompile the App, in whole or in part, or attempt to derive the source code, underlying ideas, algorithms, or structure of the App, except to the limited extent permitted by applicable law and only after notifying us in writing.
- Modify or create derivative works based on the App or any portion of it.
- Distribute, copy, or publicly display the App or any content within it without our prior written consent.
- Sublicense the App or any rights granted under this EULA to any third party.
- Use the App for commercial purposes without entering into a separate commercial agreement with Wayfield, Inc.
- Remove or obscure any copyright, trademark, or other proprietary notices within the App.
- Use the App to transmit viruses, malware, or other harmful code, or to interfere with the security or integrity of the App or Wayfield's platform.
- Access the App using automated means (bots, scrapers, or similar tools) except as expressly permitted by Wayfield's API documentation.
4. Updates
Wayfield may, from time to time, issue updates, bug fixes, patches, or new versions of the App ("Updates"). Updates may be delivered automatically through the applicable app store or may require manual installation. We reserve the right to cease support for older versions of the App following the release of an Update.
By downloading and installing an Update, or by continuing to use the App after an Update has been applied automatically, you confirm your acceptance of the updated EULA in force at that time, including any changes made to this agreement since you last accepted it. We will notify you of material changes to this EULA within the App or by email.
We strongly recommend keeping the App updated to ensure you benefit from the latest security patches and feature improvements.
5. Third-Party Components
The App includes open-source software libraries and third-party components ("Third-Party Components"). These components are used under their respective open-source licenses, which take precedence over this EULA in respect of those components.
A list of Third-Party Components and their applicable licenses is available within the App under Settings > Acknowledgements. You agree to comply with the terms of those licenses as they apply to the Third-Party Components.
Wayfield makes no representations or warranties in relation to the Third-Party Components beyond those required by the applicable open-source licenses.
6. Data Collection
The App collects and processes certain personal data in order to provide the Wayfield service. The types of data collected, the purposes for which it is used, and how it is stored and shared are described in full in the Wayfield Privacy Policy.
By using the App, you acknowledge that you have read the Privacy Policy and consent to the collection and use of your data as described therein. If you do not accept the Privacy Policy, you must not use the App.
The App may request access to device features such as your camera (for joining sessions via QR code scan), location services (for showing nearby workshops), and push notification permissions. These permissions are optional unless required for a specific feature, and can be managed through your device's system settings.
7. Termination
This license is effective until terminated. Your rights under this EULA will terminate automatically and without notice if:
- You delete the App from your device.
- You violate any term of this EULA or Wayfield's Terms of Service.
- Your Wayfield account is suspended or terminated by Wayfield, Inc. in accordance with the Terms of Service.
Wayfield may also terminate or suspend your access to the App at any time, with or without notice, for any reason, including for legitimate business purposes or where required by law.
Upon termination, you must cease all use of the App and delete it from all devices in your possession. Provisions of this EULA that by their nature should survive termination will continue to apply after termination.
8. Disclaimer of Warranties
The App is provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, Wayfield, Inc. expressly disclaims all warranties, including but not limited to:
- Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
- Any warranty that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- Any warranty that defects in the App will be corrected.
Nothing in this EULA limits or excludes any statutory rights you may have as a consumer under applicable law, including under the Consumer Rights Act 2015 in the United Kingdom. Where such rights cannot be excluded, this disclaimer applies only to the fullest extent permitted by law.
9. Apple and Google Platform Terms
If you downloaded the App from the Apple App Store, you acknowledge and agree that:
- This EULA is between you and Wayfield, Inc. only — not between you and Apple Inc. Apple is not a party to this EULA.
- Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
- Apple is a third-party beneficiary of this EULA and, upon your acceptance, Apple will have the right to enforce this EULA against you as a third-party beneficiary.
- In the event of any conflict between this EULA and the Apple Media Services Terms and Conditions, the Apple terms will govern to the extent of the conflict as they relate to the App Store.
If you downloaded the App from the Google Play Store, you acknowledge and agree that:
- This EULA is between you and Wayfield, Inc. only — not between you and Google LLC. Google is not a party to this EULA.
- Google is a third-party beneficiary of this EULA and, upon your acceptance, Google will have the right to enforce this EULA against you as a third-party beneficiary.
- Google Play's terms and conditions also apply to your use of the App as distributed through that platform.
10. Governing Law
This EULA and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Minnesota, United States.
You and Wayfield, Inc. agree to submit to the exclusive jurisdiction of the courts of Minnesota, United States to settle any dispute or claim arising under this EULA, except where mandatory consumer protection law in your country of residence requires otherwise. If you are a consumer resident in the European Union, you may also be entitled to bring proceedings in the courts of your country of residence.
Nothing in this clause affects your rights as a consumer under applicable mandatory law.
